Transition FAQ

Hapag-Lloyd and UASC are a perfect strategic fit with their strengths in their respective markets and trade lanes. Consequently, the two companies can achieve far more together than on a stand alone basis. The two businesses are highly complementary and will provide the platform, scale and know-how necessary to deliver higher levels of service and innovation to benefit customers.

UASC and Hapag-Lloyd are two companies that fit perfectly to each other strategically. By combining both we will be able to achieve synergies financially and structurally. The key to the strategic fit is that UASC is strongly represented in the Far-East trade and in the Middle East region where Hapag-Lloyd has smaller market shares. In addition to this, the service networks and fleets complement each other.

The whole company UASC will come under the Hapag-Lloyd umbrella in order to build a strong and forceful number 4 (by revenue) or 5 (by fleet capacity) in liner shipping. UASC will be integrated into Hapag-Lloyd’s organization and the transport volumes will be handled with Hapag-Lloyd’s very reliable and efficient systems after the integration is finished. This should be at the end of October 2017 when the Commercial Cut-over is scheduled to be concluded. The very large and young ships of UASC’s fleet will become an integral part of Hapag-Lloyd’s fleet. This will reduce the average age of the fleet even lower to 7.2 years, and the average vessel size will rise to a very competitive 6,840 TEU/ship.

Hapag-Lloyd and UASC’s container business complement each other perfectly. Combining and optimizing our global services creates a much larger and improved service network with additional direct port connections as well as competitive transit times. All of the world’s key ports will be connected with short transit times. In addition to the North Atlantic and the Latin American related trades (to Asia, North America and Europe) we will become one of the leading providers in the key market of the Middle East. The transaction will also strengthen our sales network, which means we will increase our level of customer service and proximity to our customers.

We envisage that the combination of our businesses will be completed within a year from Closing date – or even faster. We will use our good experiences from the last merger with CSAV. The operational integration of CSAV in 2015 went smooth and was finished after approx. eight months. Everything was prepared with great care – a job that we have done again during the Pre-Closing period.

Hapag-Lloyd is well experienced and has already successfully proven that it is able to merge two businesses smoothly and without disadvantages for the customers of both sides (2005/06 with CP Ships and 2014/15 with CSAV). Hapag-Lloyd will do its utmost to continue high service levels to its customers. Thus, business continuity is one of the top priorities during the merger and integration time.

The new products will be a combination of the excellent service networks of Hapag-Lloyd and UASC.
The future products and services will be communicated in due course.

After Closing both businesses will continue separately in order to achieve business continuity and to prepare everything for a smooth transition. Any decision regarding future service and terminal structure will be made and communicated during the transition phase.
