After successful placement of EUR 250 million / Additional volume of EUR 150 million

Following the successful placement of EUR 250 million 7.75% Senior Notes due 2018 on September 27, 2013, Hapag-Lloyd AG announced today the offering of additional 7.75% Senior Notes due 2018 in the amount of EUR 150 million (“Additional Notes”) in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended, and outside the United States to certain non-U.S. persons pursuant to Regulation S under the Securities Act. The Additional Notes will be issued under the indenture dated September 27, 2013 governing the EUR 250 million 7.75% Senior Notes due 2018.
The proceeds from the sale of the Additional Notes will be used to redeem existing 9% Senior Euro Notes due 2015 (“Euro Notes”). Deutsche Bank, London Branch will launch an intermediate tender offer for an amount equal to the gross proceeds from the sale of the Additional Notes (excluding any accrued interest to be paid). The purchase price for the Notes tendered will be 105.25%. This intermediate exchange offer will expire on October 17, 2013 and will settle on October 21, 2013. The intermediate exchange offer will, potentially, be followed by a further call for redemption in relation to the balance between the amount of Euro Notes tendered under such tender offer and the gross proceeds from the offering of the Additional Notes.
